The clear version: We’ll do good work for fair prices. You’ll pay on time and give us what we need to deliver. We’ll both act professionally. If something goes wrong, we’ll sort it out like adults.

  • Conducted by video call

Not for:

  • Competitors researching our methods
  • Students seeking free education
  • Businesses with no budget for services
  • Businesses outside our target market (less than £50K annual marketing spend)

We reserve the right to decline consultations that don’t fit our target market.


PART 2: SERVICE TERMS

These terms apply to paying clients who engage our services.


8. Service Engagement

How We Work Together

Process:

  1. Discovery Call – Free 30-minute consultation
  2. Proposal – We send a detailed proposal with pricing
  3. Service Agreement – Formal contract for specific project
  4. Kickoff – Project begins after signed agreement and deposit
  5. Delivery – We provide agreed services
  6. Payment – You pay according to payment terms

Service Agreements

For all paid projects, we provide a Service Agreement covering:

  • Scope of work
  • Deliverables
  • Timeline
  • Fees and payment terms
  • Responsibilities (yours and ours)
  • Project-specific terms

These Terms + Service Agreement = Complete contract.

If conflict: Service Agreement takes precedence for that specific project.


9. Services We Offer

Marketing Mix Modelling (MMM)

What we deliver:

  • Data collection and validation
  • Statistical modelling across all marketing channels
  • Contribution analysis and attribution
  • Budget optimisation recommendations
  • Scenario planning tools
  • Executive presentation
  • Model documentation

 

Your obligations:

  • Provide 18-24 months of marketing spend data
  • Provide sales/revenue data
  • Access to analytics platforms (GA4, ad accounts)
  • Respond to questions within agreed timeframes
  • One main point of contact

Timeline: Typically 6-8 weeks
Fees: Will be agreed in writing via Service Agreement. A 50% deposit is required before work commences.


Analytics Engineering

What we deliver:

  • Cloud data warehouse setup (BigQuery or Snowflake)
  • Automated data pipeline from multiple sources
  • Data transformation using dbt or SQL Mesh
  • Real-time dashboards (Looker, Power BI, or Tableau)
  • Documentation and training
  • 30 days post-launch support

 

Your obligations:

  • Provide access to all data sources
  • Cover cloud infrastructure costs (estimated in proposal)
  • Designate team members for training
  • Review work at agreed checkpoints

Timeline: Typically 8 weeks setup
Pricing: Fees for Services will be agreed in writing via Service Agreement. A 50% deposit is required before work commences.


Conversion Optimisation (CRO)

What we deliver:

  • Conversion funnel analysis
  • Test hypotheses and prioritisation
  • 6+ A/B tests monthly
  • Statistical analysis and reporting
  • Winning variations implementation
  • Monthly strategy calls

 

Your obligations:

  • Minimum 1,000 conversions monthly (for statistical significance)
  • Provide access to website and testing tools
  • Developer resources for complex implementations (2-3 hours/month typically)
  • Approve test designs before launch

Timeline: Ongoing programme (minimum 3 months recommended)
Fees: Will be agreed in writing via Service Agreement. Setup fees require a 50% deposit before work commences. Ongoing support options available on monthly retainer basis.


Analytics Implementation

What we deliver:

  • GA4 property setup and configuration
  • Google Tag Manager implementation
  • Server-side tracking setup (if applicable)
  • Cookie consent management (Cytrio or similar)
  • GDPR-compliant tracking
  • Complete documentation
  • Team training

 

Your obligations:

  • Website admin access
  • Decision-making authority for tracking scope
  • Review and approve data layer specifications
  • Test tracking before going live

Timeline: Typically 2-3 weeks
Fees: Will be agreed in writing via Service Agreement. A 50% deposit is required before work commences.


Digital Marketing

What we deliver:

  • Technical SEO audits and fixes
  • International SEO setup (hreflang, multi-market)
  • Paid search campaign management (Google, Microsoft)
  • GEO/AEO optimisation
  • Monthly performance reporting

 

Your obligations:

  • Access to Google Search Console, ad accounts
  • Content approval (if we create content)
  • Timely feedback on recommendations
  • Budget for ad spend (separate from our fees)

Timeline: Ongoing programmes
Fees: Will be agreed in writing via Service Agreement. Monthly retainer paid in advance each month.


10. Fees & Payment Terms

Pricing Structure

One-off projects (MMM, Analytics Implementation):

  • Fixed fee agreed in Service Agreement
  • 50% deposit before work begins
  • 50% on completion

 

Ongoing programmes (CRO, Analytics Engineering, Digital Marketing):

  • Monthly retainer
  • First month payment upfront
  • Subsequent months invoiced at month start
  • Minimum 3-6 month commitment (specified in Service Agreement)

 

All prices quoted are:

  • In British Pounds (GBP)
  • Exclusive of VAT
  • VAT at 20% will be added to invoices
  • Valid for 30 days from quote date

VAT Treatment

VAT Registration:

WebIQ Analytics Limited is not registered VAT yet.
VAT Number: Pending

All invoices will include:

  • Services description
  • Net amount
  • VAT at 20%
  • Gross amount payable
 

VAT Status:

WebIQ Analytics Limited is not currently VAT registered. All prices are therefore final with no VAT to add.

Future VAT registration: If we register for VAT (mandatory at £90,000 annual turnover), we’ll notify you and VAT will apply to subsequent invoices.


Payment Methods

We accept:

  • Bank transfer (preferred)
  • Credit/debit card (via secure payment link)
  • Direct debit (for ongoing retainers)

 

We don’t accept:

  • Cash
  • Cryptocurrency
  • Barter or exchange

Payment Terms

Invoices are due:

  • Deposits: Within 5 working days
  • Project completion: Within 14 days
  • Monthly retainers: Within 7 days

 

Late payment:

  • £50 administrative fee after 7 days overdue
  • Interest at 8% above Bank of England base rate (statutory right under Late Payment of Commercial Debts Act 1998)
  • Work may be paused until payment received
  • Repeat late payment = termination right

Disputes: Notify us within 7 days of invoice. We’ll discuss and resolve fairly.


Additional Costs

Unless specified in Service Agreement, you pay for:

  • Cloud infrastructure costs (BigQuery, Snowflake, etc.)
  • Third-party software licenses (if you don’t already have them)
  • Advertising spend (we manage, you pay platforms directly)
  • Travel expenses (if on-site work required – agreed in advance)

We’ll always get approval before incurring costs on your behalf.


Refund Policy

One-off projects:

  • Full refund of deposit if we cancel before starting
  • No refund once work has begun (but you keep all work completed to date)
  • If we don’t meet agreed timelines without good reason: Pro-rata refund

 

Ongoing programmes:

  • Full refund of current month if we cancel
  • No refund for work already delivered
  • Cancellation: 90 days notice required (you pay for notice period)

 

Performance guarantee:

  • If we don’t identify £30K+ improvement opportunities in MMM project: Work for free until we do
  • Other services: If deliverables don’t match Service Agreement, we’ll redo at no cost

 

To request refund: Email admin@webiqanalytics.com with reason. We’ll respond within 5 working days.


11. Your Obligations

General Client Responsibilities

You must:

  • Provide accurate information
  • Respond to requests within agreed timeframes
  • Provide necessary access to platforms and data
  • Designate one main point of contact
  • Pay invoices on time
  • Review and approve deliverables at checkpoints
  • Inform us of any issues promptly

 

Typical response times expected:

  • Questions/clarifications: 2-3 working days
  • Review of deliverables: 5 working days
  • Urgent/time-sensitive: Same day or next working day

Access & Credentials

When you give us access to platforms:

  • Use unique credentials (not your personal account)
  • Grant only necessary permissions
  • Revoke access after project completion
  • Notify us immediately of any security concerns

 

We will:

  • Store credentials securely (encrypted password manager)
  • Not share credentials with third parties
  • Use access only for agreed purposes
  • Revoke our own access after project completion

Data Provision

You confirm that data you provide:

  • Is accurate and complete
  • You have the right to share with us
  • Doesn’t violate any confidentiality agreements
  • Complies with data protection laws

 

If we discover data issues:

  • We’ll notify you
  • Timeline may be affected
  • Additional costs may apply to clean data

Cooperation

Success requires your cooperation:

  • Attend scheduled calls
  • Provide timely feedback
  • Make reasonable resources available
  • Involve relevant stakeholders
  • Act on recommendations (or explain why not)

 

If you’re unresponsive:

  • After 14 days of no contact: We may pause work
  • After 30 days: We may terminate and invoice for work completed

12. Our Obligations

What We Promise

We will:

  • Deliver services professionally and competently
  • Meet agreed deadlines (or notify you promptly if we can’t)
  • Communicate clearly and regularly
  • Keep your data secure
  • Act in your best interests
  • Be honest about what’s achievable
  • Provide work that matches Service Agreement

What We Don’t Promise

We’re consultants, not miracle workers.

We don’t guarantee:

  • Specific revenue increases (we can’t control your execution)
  • Specific percentage improvements (every business is different)
  • That you’ll act on our recommendations
  • Results if you don’t implement recommendations
  • That your current setup doesn’t need complete rebuilding

 

We guarantee:

  • Good faith effort
  • Professional expertise
  • Honest analysis
  • Recommendations based on data
  • Work quality matching industry standards

Communication

How we communicate:

  • Email: Daily for questions and updates
  • Video calls: Weekly during projects, monthly for retainers
  • Slack: If you use it and prefer it
  • Phone: For urgent matters

 

Response times:

  • Urgent matters: Same working day
  • General questions: Within 1 working day
  • Complex queries: Within 2 working days

Working hours: Monday-Friday, 9am-5pm UK time (excluding UK bank holidays)


13. Intellectual Property

Your IP

You retain ownership of:

  • Your brand and trademarks
  • Your business data
  • Your website and content
  • Any IP you had before engaging us

Our IP

We retain ownership of:

  • Our methodologies and processes
  • Our tools and templates
  • Our brand and trademarks
  • Pre-existing IP
  • Work we do for other clients

Project Deliverables

Work we create specifically for you:

You own:

  • Final reports and presentations
  • Data models and analysis specific to your business
  • Dashboards and visualisations we build for you
  • Documentation created for your team

 

We retain:

  • Underlying methodologies
  • Reusable code and templates
  • Right to create similar work for others
  • Right to use anonymised learnings in future projects

 

Both of us can:

  • Use project as a case study (with approval from other party)
  • Reference the working relationship (with approval)

Portfolio & Case Studies

We’d like to showcase our work.

With your written permission, we may:

  • Create a case study (anonymised or named)
  • Show project results
  • List you as a client
  • Include in our portfolio

You can:

  • Approve case study content before publication
  • Request anonymisation
  • Withdraw permission any time (we’ll remove within 30 days)
  • Say no (no hard feelings)

14. Confidentiality

What’s Confidential

We treat as confidential:

  • Your business data and financials
  • Analytics access and credentials
  • Strategic plans and objectives
  • Customer data we access
  • Anything marked “confidential”
  • Anything obviously sensitive

Our Obligations

We will:

  • Keep your confidential information secure
  • Not share with third parties (except as required for service delivery)
  • Use only for providing services
  • Return or destroy after project ends (as requested)
  • Continue confidentiality indefinitely

Exceptions

We may disclose if:

  • Required by law
  • Information becomes public through no fault of ours
  • We had information before you shared it
  • You give written permission
  • Necessary to defend legal claims

Your Obligations

You agree:

  • Not to share our methodologies or tools without permission
  • Not to reverse-engineer our processes
  • Keep any proprietary information we share confidential

Third-Party Processors

We may share data with:

  • Cloud hosting providers
  • Analytics platforms (if we set them up for you)
  • Sub-contractors (with your approval)

All under confidentiality obligations.


15. Data Protection & GDPR

When We’re a Data Processor

If we process personal data on your behalf (e.g., access to your GA4 user data):

  • You’re the Data Controller
  • We’re the Data Processor
  • GDPR applies
  • We’ll sign a Data Processing Agreement (DPA)

 

Our DPA covers:

  • Processing instructions
  • Security measures
  • Sub-processors
  • Data breach procedures
  • Data subject rights
  • International transfers
  • Audit rights

When We’re a Data Controller

For data we collect directly (contact forms, analytics about your behaviour on our site):


Security Measures

We protect your data through:

  • Encrypted storage and transmission
  • Access controls and authentication
  • Regular security updates
  • Employee training
  • Secure credential management
  • Regular backups
  • Incident response procedures


If there’s a data breach:

  • We’ll notify you within 24 hours
  • Provide details of what happened
  • Explain what we’re doing about it
  • Help you notify authorities if required

Your Rights Under GDPR

You have the right to:

  • Access your data
  • Correct inaccuracies
  • Request deletion (subject to legal obligations)
  • Restrict processing
  • Data portability
  • Object to processing
  • Lodge a complaint with ICO

16. Warranties & Disclaimers

Our Warranties

We warrant that:

  • We have the right and authority to provide services
  • Services will be performed with reasonable skill and care
  • Work will materially comply with Service Agreement
  • We’ll use industry-standard security practices
  • WebIQ Analytics Limited is duly incorporated and in good standing

Disclaimer of Other Warranties

Except as expressly stated, services are provided “as is”.

We don’t warrant:

  • That our recommendations will achieve specific results
  • That your team will implement recommendations correctly
  • That market conditions won’t change
  • That third-party tools will work perfectly
  • Specific performance improvements

Marketing and analytics involve uncertainty. Past performance doesn’t guarantee future results.


Your Warranties

You warrant that:

  • You have authority to enter this agreement on behalf of your company
  • Data you provide doesn’t infringe third-party rights
  • You’ll comply with applicable laws
  • Information provided is accurate

17. Limitation of Liability

This section limits our legal responsibility. Read carefully.

What We’re NOT Responsible For

WebIQ Analytics Limited is not liable for:

  • Indirect or consequential losses (e.g., lost profits, lost business opportunities, reputational damage)
  • Losses caused by your failure to implement recommendations
  • Losses from third-party tools or platforms (Google, GA4, ad platforms, etc.)
  • Losses from data inaccuracies in your source data
  • Losses from market changes or external factors
  • Losses exceeding the fees you paid us

Maximum Liability

Our total liability is capped at:

  • One-off projects: Total fees paid for that project
  • Ongoing retainers: Total fees paid in preceding 12 months

Example: If you paid us £20,000 for an MMM project, our maximum liability is £20,000.


Exceptions to Limitations

We don’t limit liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Breach of confidentiality (if due to our negligence)
  • Anything that UK law says we can’t limit

Your Responsibility

You’re responsible for:

  • Decisions based on our recommendations
  • Implementation quality
  • Your team’s actions
  • Regulatory compliance
  • Your own data security

We advise; you decide and implement.


18. Term & Termination

Project Duration

One-off projects:

  • Start on agreed date
  • End on delivery and final payment
  • Warranty period: 30 days after completion


Ongoing retainers:

  • Start on signed agreement
  • Continue monthly until terminated
  • Minimum term: As specified in Service Agreement (typically 3-6 months)

Termination by You

You may terminate by:

  • Giving 90 days written notice (for ongoing retainers)
  • Immediate termination for material breach by us (after 14 days notice to cure)


For one-off projects:

  • You may terminate before work starts (lose deposit)
  • After work starts: Pay for work completed to date

Termination by Us

We may terminate immediately if you:

  • Fail to pay invoices (after 30 days overdue)
  • Breach confidentiality
  • Provide access to competitors
  • Act illegally or unethically
  • Fail to cooperate (after 30 days non-responsiveness)
  • Breach these Terms materially

For ongoing retainers:

  • We may give 90 days notice without cause

Effect of Termination

When agreement ends:

You must:

  • Pay all outstanding invoices
  • Pay for work completed to date
  • Return any materials we loaned you


We must:

  • Return or securely delete your data (as you prefer)
  • Provide work completed to date
  • Revoke our access to your platforms


Both of us:

  • Confidentiality continues indefinitely
  • Accrued rights remain (unpaid invoices, IP ownership, etc.)

Survival

These sections survive termination:

  • Payment obligations
  • Intellectual property
  • Confidentiality
  • Limitation of liability
  • Dispute resolution
  • Governing law

19. Force Majeure

Neither party is liable for failure to perform due to events beyond reasonable control:

  • Natural disasters
  • Pandemic/epidemic
  • War or terrorism
  • Government actions or restrictions
  • Internet/telecommunications failures
  • Strikes or industrial action
  • Acts of God


If force majeure occurs:

  • Affected party notifies other promptly
  • Obligations suspended during event
  • Both parties try to minimise impact
  • If lasts >90 days: Either party may terminate without penalty

20. Independent Contractor

WebIQ Analytics Limited is an independent contractor, not:

  • An employee
  • A partner
  • A joint venture
  • An agent with authority to bind you

No employment relationship created.

Services are provided by WebIQ Analytics Limited as a company. Individual employees or contractors working on your project do so on behalf of the company, not in a personal capacity.


21. Subcontractors

When We Use Subcontractors

We may engage subcontractors for:

  • Specialised technical work
  • Overflow capacity
  • Specific expertise (with your approval)

WebIQ Analytics Limited remains responsible for their work.


Requirements

All subcontractors must:

  • Sign confidentiality agreements
  • Meet same data protection standards
  • Be disclosed to you (if working on your project)
  • Have appropriate professional insurance

For sensitive projects: We’ll seek your approval before engaging subcontractors.


PART 3: GENERAL TERMS

These terms apply to all website users and clients.


22. Dispute Resolution

Informal Resolution First

If you have a complaint:

  1. Email admin@webiqanalytics.com with details
  2. We’ll respond within 5 working days
  3. We’ll try to resolve within 14 days

Most issues can be resolved through discussion.


Mediation

If informal resolution fails:

  • Either party may request mediation
  • Use an independent mediator
  • Split mediation costs 50/50
  • Good faith effort to resolve

Litigation (Last Resort)

If mediation fails:

  • Either party may proceed to court
  • See “Governing Law” section below

Before litigation: Give 14 days written notice of intent to sue.


23. Governing Law & Jurisdiction

Governing Law

These Terms are governed by the laws of England and Wales.

This applies regardless of:

  • Your location
  • Where services are delivered
  • Where we interact

Jurisdiction

The courts of England and Wales have exclusive jurisdiction for any disputes.

You agree:

  • To submit to jurisdiction of English courts
  • Not to challenge this jurisdiction
  • That English law applies

24. General Provisions

Entire Agreement

These Terms plus any Service Agreement constitute the entire agreement.

They replace:

  • All prior discussions
  • All previous agreements
  • All verbal promises
  • All preliminary documents

Not valid unless written: No verbal modifications. Changes must be in writing, signed by both parties.


Severability

If any provision is unenforceable:

  • That provision is modified to be enforceable
  • Rest of Terms remain in effect
  • Doesn’t affect other provisions

Waiver

Our failure to enforce any right doesn’t waive that right.

Example: If we don’t charge late payment fee once, doesn’t mean we won’t in future.

Waivers must be in writing to be valid.


Assignment

You can’t transfer your rights/obligations without our written consent.

We may transfer our rights/obligations:

  • To a related company
  • In connection with business sale or merger
  • To another UK-based analytics consultant (with notice)

Your contracts continue after any assignment.


Third Parties

These Terms are between you and WebIQ Analytics Limited only.

Third parties have no rights under these Terms (except where expressly stated).

Contracts (Rights of Third Parties) Act 1999 doesn’t apply.

Post: Registered mail to registered addresses

Notice is effective:

  • Email: When sent (if sent during business hours)
  • Post: 2 working days after posting (UK), 7 days (international)

Business hours: Monday-Friday, 9am-5pm UK time


Headings

Section headings are for convenience only. They don’t affect interpretation.


Counterparts

Service Agreements may be signed in counterparts.

Electronic signatures are valid (e.g., DocuSign, PDF signature).


25. Definitions & Interpretation

Additional Definitions

“Business Day” = Monday-Friday, excluding UK bank holidays
“Writing” = Email or letter (electronic signatures valid)
“Includes” = Non-exhaustive (not limiting)
“Reasonable” = What a reasonable person would consider fair


Interpretation Rules

References to:

  • “Person” = Individual or company
  • Singular includes plural (and vice versa)
  • “Law” = All applicable laws and regulations
  • “Including” = Doesn’t limit generality
